Terms of Service

End User License Agreement for zbackroom and its connected apps. Last updated September 17, 2026.

These Terms of Service ("Terms") are an agreement between you and zbackroom ("zbackroom," "we," "us") governing your access to and use of zbackroom.com and every application connected to it (each an "App," together the "Service") — currently including ConfirmPO. By checking the agreement box on signup, or by otherwise creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. The Service

zbackroom.com is the shared account, billing, and administration layer for a family of small, focused apps. One account and one subscription work across every App — you don't sign up separately for each one. Each App has its own purpose (for example, ConfirmPO helps buyers send purchase orders to suppliers and collect their confirmation); these Terms apply to all of them unless an App's own pages say otherwise.

2. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business or personal purposes. This license doesn't give you any ownership interest in the Service, and you may not resell, sublicense, reverse engineer, or use the Service to build a competing product.

3. Accounts

You need an account to use most of the Service, created either with an email and password or by signing in with Google. You're responsible for keeping your credentials secure and for everything that happens under your account. Tell us right away at contact@zbackroom.com if you suspect unauthorized access. You must be able to form a binding contract to create an account — if you're using the Service on behalf of a company, you're confirming you have authority to bind that company to these Terms.

4. Plans, Billing & Cancellation

The Service offers a Free plan and paid plans (currently Starter and Business) with higher usage limits and additional features. Paid plans are billed on a recurring subscription basis through Square, our payment processor — we never see or store your raw card number; Square handles that directly, and we keep only the customer/card/subscription identifiers Square gives us back. Subscriptions renew automatically until canceled. You can cancel any time from your account page, effective at the end of the current billing period; fees already paid are non-refundable except where required by law. We may change plan pricing or features going forward, with reasonable notice for existing subscribers.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or the rights of a third party;
• Upload or transmit content you don't have the right to share (including someone else's confidential business data without authorization);
• Attempt to gain unauthorized access to the Service, other accounts, or the systems it runs on;
• Interfere with or disrupt the Service, or bypass any rate limits or usage controls;
• Send spam, malware, or abusive content through any messaging feature (including forwarded email or PDF uploads).

We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.

6. Your Content & Data

You retain ownership of the business data you put into the Service — purchase orders, supplier names and emails, line items, notes, and anything you upload or forward. You grant us a limited license to host, process, and transmit that content solely to provide the Service to you (for example, emailing a purchase order to the supplier you specified, or extracting structured data from a document you uploaded). We don't sell your content or use it to train models we make available to other customers.

On Starter and Business plans, PDFs you upload and emails you forward may be sent to a third-party AI provider to extract structured data automatically — see Privacy Policy for details on how that works and which provider is used. This doesn't happen on the Free plan.

7. Third-Party Services

The Service relies on third-party providers to work — payment processing (Square), email delivery and inbound forwarding (Resend), sign-in (Google), AI-based document reading (DeepSeek), and, if you choose to connect it, accounting data import (Intuit QuickBooks). Your use of those integrations is also subject to that provider's own terms where applicable. We're not responsible for outages or errors originating from a third-party provider, though we'll do what we reasonably can to work around them.

8. Intellectual Property

The Service — its software, design, and branding — belongs to zbackroom and is protected by applicable intellectual property laws. Nothing in these Terms transfers any of that to you except the limited license in Section 2.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for violating these Terms, non-payment, or if we discontinue the Service or a particular App. On termination, your right to use the Service ends immediately; sections that by their nature should survive (ownership, disclaimers, limitation of liability) will continue to apply.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don't guarantee the Service will be uninterrupted, error-free, or that AI-assisted document reading will be perfectly accurate — always review a document before it's sent to a supplier.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZBACKROOM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Changes to These Terms

We may update these Terms from time to time. If a change is material, we'll make reasonable efforts to let existing users know (for example, by email or an in-app notice). Continuing to use the Service after a change takes effect means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Oregon.
